4.6 Existing and Future Agreements

Without limitation, every User further agrees that, in relation to:

  • any existing agreement with SSP;

  • any future agreement with SSP;

  • any procurement agreement;

  • any consultancy arrangement;

  • any property introduction;

  • any webinar registration;

  • any download obtained from SSP; or

  • any future commercial relationship whatsoever,

the User has not relied, and shall not rely, upon any information contained on the Website or otherwise communicated by SSP unless that information is expressly incorporated into a written agreement signed by an authorised representative of SSP.

Nothing in this clause excludes liability for fraud or fraudulent misrepresentation.

4.7 Property Opportunities

Any property opportunities, introductions or examples published by SSP are provided for general information only.

Unless expressly agreed otherwise in writing, SSP does not warrant or represent that any opportunity:

  • will remain available;

  • is suitable for serviced accommodation;

  • is legally compliant;

  • is commercially viable;

  • will generate profit;

  • will achieve any occupancy level;

  • will secure landlord approval; or

  • will satisfy any particular objective of the User.

Each opportunity should be independently investigated before any commitment is made.

4.8 Procurement Role

Unless expressly agreed in writing, SSP's role is limited to identifying and, where applicable, introducing potential property opportunities.

SSP does not undertake responsibility for evaluating the legal, financial, operational or commercial merits of any opportunity on behalf of a User.

The User remains solely responsible for determining whether any opportunity is suitable for their own business.

SSP makes no representation that any User will generate any particular income, replace employment income, achieve financial independence or obtain financial freedom.

4.9 Assumption of Commercial Risk

The User acknowledges that property procurement, leasing and serviced accommodation involve inherent commercial risk.

By using the Website or any services provided by SSP, the User voluntarily assumes all risks associated with:

  • acquiring or leasing property;

  • financing;

  • occupancy;

  • regulatory compliance;

  • licensing;

  • taxation;

  • market conditions;

  • operational performance; and

  • profitability.

To the fullest extent permitted by law, SSP shall not be liable for commercial losses arising from those risks.

4.10 Entire Agreement and Non-Reliance

Unless expressly agreed otherwise in writing, every written agreement entered into with SSP shall constitute the entire agreement between the parties in relation to its subject matter.

The User acknowledges that they have not relied upon any representation, statement, promise or assurance not expressly contained within that written agreement.

5. GENERAL LEGAL PROVISIONS

5.1 Limitation of Liability

To the fullest extent permitted by applicable law, SSP shall not be liable for any direct, indirect, incidental, special, exemplary, punitive or consequential loss or damage arising from or connected with:

  • use of this Website;

  • inability to use this Website;

  • Website downtime;

  • reliance upon Website Content;

  • reliance upon downloads;

  • reliance upon webinars;

  • procurement opportunities;

  • property introductions;

  • commercial decisions;

  • business interruption;

  • loss of profit;

  • loss of revenue;

  • loss of business;

  • loss of contracts;

  • loss of goodwill;

  • loss of opportunity;

  • loss of anticipated savings;

  • financing decisions;

  • investment decisions;

  • taxation;

  • planning;

  • licensing;

  • regulatory matters;

  • or any other commercial loss whatsoever.

Nothing contained within these Terms shall exclude or restrict liability for:

  • fraud;

  • fraudulent misrepresentation;

  • death or personal injury caused by negligence where liability cannot lawfully be excluded; or

  • any other liability which cannot lawfully be excluded under the laws of England and Wales.

Without prejudice, to the fullest extent permitted by law, the aggregate liability of SSP arising out of or in connection with the use of this Website shall not exceed £50.

5.2 Indemnity

The User agrees to indemnify, defend and hold harmless SSP, its Associated Companies, officers, directors, employees, consultants and agents against any and all claims, proceedings, liabilities, damages, losses, costs and expenses (including reasonable legal costs) arising directly or indirectly from:

  • breach of these Terms;

  • misuse of the Website;

  • unlawful activity;

  • infringement of third-party rights;

  • misuse of Website Content;

  • misuse of procurement opportunities; or

  • any act or omission of the User.

5.3 Intellectual Property

All Intellectual Property Rights in the Website and its Content remain vested exclusively in SSP or its licensors.

Nothing within these Terms transfers ownership of any Intellectual Property Rights.

Except where expressly permitted in writing, no User may reproduce, distribute, adapt, publish, exploit, licence or otherwise use any Website Content for commercial purposes.

SSP reserves all rights not expressly granted.

No licence shall be implied by estoppel or otherwise.

5.4 Confidential Information

Where SSP discloses confidential commercial information, procurement methodologies, sourcing processes, pricing structures, business systems or other confidential information, the recipient shall keep such information confidential and shall not disclose it to any third party without SSP's prior written consent unless required by law.

5.5 Third-Party Rights

Except for any Associated Company expressly entitled to rely upon these Terms, no person who is not a party to these Terms shall have any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.

5.6 Assignment

SSP may assign, transfer, novate or otherwise dispose of its rights and obligations under these Terms without restriction.

The User may not assign, transfer or novate any rights or obligations under these Terms without SSP's prior written consent.

5.7 Force Majeure

SSP shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including (without limitation):

  • acts of God;

  • fire;

  • flood;

  • war;

  • terrorism;

  • civil unrest;

  • industrial disputes;

  • cyber-attacks;

  • internet outages;

  • failures of third-party providers;

  • government action; or

  • any other event beyond SSP's reasonable control.

5.8 Entire Agreement

These Terms constitute the entire agreement governing the use of this Website and supersede all previous understandings relating to Website use.

Nothing contained within these Terms limits the operation of any separate Written Agreement entered into in accordance with Clause 1.5.

5.9 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be deemed severed and the remaining provisions shall remain in full force and effect.

5.10 Waiver

No failure or delay by SSP in exercising any right or remedy shall constitute a waiver of that right or remedy.

Any waiver must be made expressly in writing by an authorised representative of SSP.

5.11 Variation

SSP may amend these Terms at any time.

Revised Terms shall become effective upon publication unless otherwise stated.

Continued use of the Website following publication shall constitute acceptance of the revised Terms.

5.12 Governing Law

These Terms, and any dispute or claim arising out of or in connection with them or the use of this Website (including non-contractual disputes or claims), shall be governed exclusively by the laws of England and Wales.

5.13 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising out of or relating to these Terms, except where mandatory law provides otherwise.
